1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Settilo LLC ("Company," "we," "us," or "our"), a Wyoming limited liability company. By accessing or using our website and neighborhood analytics platform (collectively, the "Service"), you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations.

If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Settilo LLC provides a neighborhood analytics platform that offers personalized neighborhood reports, life-quality assessments, and data-driven insights for individuals considering residential moves within the United States. Our Service aggregates publicly available data, applies proprietary analytics, and generates reports that may include:

  • Neighborhood safety and quality metrics
  • School ratings and education data
  • Commute and transportation analysis
  • Lifestyle compatibility assessments
  • Cost-of-living projections
  • Personalized life simulation scenarios ("Life Reality Layer")

Important Notice: Our Service provides informational content only. It is not a consumer report under the Fair Credit Reporting Act (FCRA) and must not be used for evaluating credit, employment, insurance eligibility, tenant screening, or any other FCRA-regulated purpose. The Company does not collect or evaluate information at the level of specific individuals and does not assemble or evaluate consumer-level data. The Service operates solely at aggregated geographic levels (census tract, ZIP code, city, county, etc.) and does not produce reports about individual persons.

3. User Accounts

To access certain features, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the confidentiality of your login credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that exhibit suspicious activity.

4. Purchases and Payments

4.1 Pricing

Prices for neighborhood reports and other paid features are displayed on our website and are subject to change. Applicable sales tax will be added at checkout where required by law.

4.2 Payment Processing

All payments are processed through third-party payment processors. By making a purchase, you agree to their terms of service. We do not store your full payment card information on our servers.

4.3 Refund Policy

Because our reports are generated instantly upon purchase and delivered digitally, all sales are generally final. However, if you believe there is a material error in a report, please contact us within 14 days of purchase and we will review your request. Refunds, if granted, are at our sole discretion.

4.4 Chargebacks

If you initiate a chargeback or payment dispute without first contacting us, we reserve the right to suspend your account and pursue recovery of the disputed amount.

5. License and Permitted Use

5.1 Platform Access License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

5.2 Purchased Report License

Each neighborhood report you purchase is licensed (not sold) to you under the following terms:

  • Personal Use: You may view, download, save, and print the report for your personal research regarding potential home purchases, moves, or relocation decisions.
  • Household Sharing: You may share the report with members of your immediate household who are involved in the same housing decision.
  • Professional Sharing: You may share the report with your real estate agent, mortgage broker, or financial advisor solely for the purpose of supporting your personal housing decision. Such professionals may not redistribute, resell, or use the report for any other client or purpose.
  • Citation and Excerpts: You may quote or reference limited portions of the report (e.g., specific scores or data points) in personal communications, provided you attribute such content to Settilo LLC and do not misrepresent it.

5.3 Restrictions on Report Use

Unless you have obtained a separate commercial license from us in writing, you may NOT:

  • Resell, sublicense, distribute, or commercially exploit any report or its contents
  • Publish, post publicly, or broadcast any report in whole or in substantial part (including on social media, blogs, or forums)
  • Use any report or its data as part of any product, service, or offering to third parties
  • Incorporate report data into any database, dataset, or data product
  • Use reports to train, fine-tune, or develop any machine learning model or AI system
  • Remove or alter any copyright notices, watermarks, or proprietary markings

5.4 Commercial and Enterprise Licensing

If you wish to use our reports or data for commercial purposes, in publications, for resale, or in any manner beyond the personal use license described above, please contact us at [email protected] to discuss commercial licensing terms.

6. Prohibited Uses

You agree NOT to use the Service or any content, data, or reports obtained from the Service for any of the following purposes:

  • FCRA-Regulated Purposes: As a factor in establishing a consumer's eligibility for credit, insurance, employment, or any other purpose authorized under the FCRA.
  • Discriminatory Purposes: To discriminate against any person based on race, color, religion, sex, familial status, national origin, disability, or any other protected class under federal, state, or local fair housing laws.
  • Tenant Screening: To evaluate potential tenants for rental housing.
  • Lending Decisions: To inform lending, underwriting, or insurance decisions.
  • Commercial Redistribution: To resell, redistribute, republish, or commercially exploit our reports or data without our prior written consent.
  • Automated Access: To scrape, crawl, index, or use automated tools to access the Service, except with our express written permission.
  • Reverse Engineering: To reverse engineer, decompile, or attempt to extract the source code or proprietary algorithms of the Service.
  • Interference: To interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Impersonation: To impersonate any person or entity or misrepresent your affiliation.
  • Illegal Activity: To engage in any activity that violates applicable local, state, national, or international law.

7. Intellectual Property

7.1 Company-Owned Intellectual Property

The following are the exclusive property of Settilo LLC and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws:

  • Proprietary Analytics and Scoring Methodologies: All algorithms, models, weighting systems, scoring formulas, and analytical methods used to generate neighborhood scores, ratings, compatibility assessments, and the "Life Reality Layer" simulations constitute trade secrets of Settilo LLC.
  • Report Design and Format: The structure, layout, visual design, data presentation format, and narrative templates of our neighborhood reports.
  • Data Compilations and Derived Datasets: While we do not own the underlying raw data from public or third-party sources (see Section 8), the specific selection, coordination, arrangement, and enrichment of such data — including any derived metrics, indices, composite scores, and cross-source correlations — constitute original compilations protectable under 17 U.S.C. § 103.
  • Software and Code: All source code, object code, APIs, user interfaces, and technical infrastructure of the Service.
  • Original Content: All text, graphics, logos, icons, images, illustrations, and editorial content created by or for Settilo LLC.
  • Trademarks: The Settilo LLC name, logo, and all related product and service names, designs, and slogans. You may not use such marks without our prior written permission.

7.2 Trade Secret Protection

You acknowledge that our analytics methodologies, scoring algorithms, data processing pipelines, and proprietary models constitute valuable trade secrets. You agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying logic of the Service
  • Attempt to replicate, reconstruct, or independently develop substantially similar scoring or analytics systems based on observation of the Service's outputs
  • Disclose or publish any technical details about our proprietary methods that you may discover through use of the Service

7.3 What We Do Not Own

For clarity, Settilo LLC does not claim intellectual property rights over the underlying raw data obtained from public government sources or third-party providers (see Section 8 — Third-Party and Public Data Attribution for details).

8. Third-Party and Public Data Attribution

The Service incorporates data from numerous publicly available government sources and third-party data providers. Settilo LLC does not claim ownership of underlying raw data obtained from public or third-party sources, including but not limited to:

  • U.S. Government Data (Public Domain): U.S. Census Bureau, American Community Survey (ACS), Bureau of Labor Statistics, FBI Uniform Crime Reports, Department of Education, Department of Transportation, Environmental Protection Agency, and other federal agencies. U.S. government data is generally in the public domain under 17 U.S.C. § 105 and is used in accordance with applicable federal data policies.
  • State and Local Government Data: State education departments, local law enforcement agencies, county assessor offices, and municipal open data portals. Such data may be subject to state-specific terms of use and licensing conditions, which we comply with.
  • Third-Party API and Data Providers: Mapping, geolocation, points-of-interest, and other commercial data services. Use of such data is governed by our agreements with those providers and their respective terms of service.

Our intellectual property rights (as described in Section 7) apply solely to our proprietary analytics, methodologies, report formats, scores, compilations, user interface, software, and original content — not to the underlying raw data sourced from public or third-party origins. The original data remains the property of, or is governed by the terms set by, its respective source.

We make commercially reasonable efforts to comply with the terms of use, attribution requirements, and licensing conditions of all data sources we utilize. Where attribution is required by a data provider, we provide such attribution within our reports or on our platform.

9. User Content

You retain ownership of any content you submit to the Service (such as search preferences and lifestyle descriptions). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and analyze your content solely for the purpose of providing and improving the Service. We will not publicly display your personal content without your consent.

10. Data Accuracy and Disclaimers

Our Service aggregates data from multiple public and third-party sources. While we strive to ensure the accuracy and timeliness of this data, you acknowledge that:

  • Data may be outdated, incomplete, or contain inaccuracies due to the nature of public records and third-party data sources.
  • Neighborhood conditions change over time, and our reports reflect data available at the time of generation.
  • Analytics, scores, and projections are based on statistical models and are not guaranteed to reflect your actual experience.
  • Our reports are informational tools and should not be the sole basis for any housing decision.

We recommend consulting with qualified professionals (real estate agents, financial advisors, legal counsel) before making housing decisions.

11. Fair Housing Compliance

Settilo LLC is committed to compliance with the Fair Housing Act (42 U.S.C. §§ 3601–3619) and all applicable state and local fair housing laws. Our Service is designed to provide objective, data-driven neighborhood analytics and does not intend to steer, influence, or discriminate against any person in their housing choices based on any protected characteristic. 12. No Brokerage or Advisory Relationship

Use of the Service does not create any agency, brokerage, fiduciary, or advisory relationship between you and Settilo LLC. The Company is not a licensed real estate broker, agent, appraiser, or financial advisor. Nothing in the Service or these Terms shall be construed as creating such a relationship.

13. User Acknowledgement

You acknowledge that housing decisions involve numerous subjective factors and that the Service is one of many tools you may use in your decision-making process. You agree that you will not rely solely on information provided by the Service when making housing, relocation, or financial decisions, and that you are solely responsible for your own decisions and their consequences.

14. Third-Party Links and Services

The Service may contain links to third-party websites or services. These are provided for convenience only and do not imply endorsement. We are not responsible for the content, privacy practices, or availability of third-party sites. Your use of third-party services is at your own risk and subject to their respective terms.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION, DATA, OR REPORTS PROVIDED THROUGH THE SERVICE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Settilo LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to, use of, or inability to use the Service;
  • Any conduct or content of any third party on the Service;
  • Any content or data obtained from the Service;
  • Unauthorized access to, use of, or alteration of your transmissions or content;
  • Housing or financial decisions made based on information from the Service.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

17. Indemnification

You agree to defend, indemnify, and hold harmless Settilo LLC, its members, managers, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of the Service, your violation of these Terms, your violation of any third-party right (including any intellectual property or privacy right), or any claim that your use of the Service caused damage to a third party.

18. Dispute Resolution and Arbitration

18.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us first and attempt to resolve any dispute informally for at least 30 days.

18.2 Binding Arbitration

If we cannot resolve a dispute informally, you and Settilo LLC agree to resolve any claim, dispute, or controversy arising out of or in connection with these Terms or the Service through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. Arbitration shall take place in the State of Wyoming or remotely at the claimant's election.

18.3 Class Action Waiver

YOU AND Settilo LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding.

18.4 Exceptions

Either party may bring claims in small claims court if the dispute qualifies. Either party may seek injunctive relief in any court of competent jurisdiction for infringement of intellectual property rights.

18.5 California Public Injunctive Relief (McGill v. Citibank Carve-Out)

Notwithstanding the foregoing arbitration provisions, nothing in these Terms shall be construed to waive, limit, or otherwise affect any right you may have to seek public injunctive relief — that is, injunctive relief that has the primary purpose and effect of prohibiting unlawful acts that threaten future injury to the general public — in any court of competent jurisdiction. If a court determines that any claim for public injunctive relief is not subject to arbitration, then only that specific claim shall proceed in court, and all remaining claims shall continue in arbitration. This provision is severable from the arbitration agreement and is intended to comply with the California Supreme Court's holding in McGill v. Citibank, N.A., 2 Cal. 5th 945 (2017), and similar applicable state law.

19. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including ownership, warranty disclaimers, indemnity, and limitations of liability) shall survive.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Wyoming.

21. Severability

If any provision of these Terms is held by a court or arbitrator to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

22. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on our website and updating the "Last Updated" date, and where feasible, by sending you an email notification. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

23. RESPA Compliance Notice

The Company does not currently operate referral programs with real estate brokers, lenders, or settlement service providers. Should the Company introduce any referral arrangements in the future, it will conduct a legal review to ensure compliance with the Real Estate Settlement Procedures Act (RESPA), 12 U.S.C. § 2601 et seq., and any applicable state referral laws prior to launching such programs.
